TERMS OF SERVICE AND RETURN POLICY

1. GENERAL TERMS

1.1 Acceptance of Agreement

By accessing, purchasing, or using HOTCLUB services ("Services"), you ("User," "you," or "your") expressly agree to be legally bound by these Terms of Service, our Privacy Policy, and all posted policies (collectively, the "Agreement"). If you do not fully accept these terms, you must immediately cease all use of our Services.

1.2 Eligibility and Lawful Use

You warrant that:

You will only use HOTCLUB with Microsoft accounts you own or have explicit, written authorization to manage;
Your use complies with all applicable laws

Prohibited Uses: You shall not use the Services for unauthorized access, credential brute-forcing, account harvesting, spam, fraud, or any activity violating platform terms or computer fraud laws (including but not limited to the Computer Fraud and Abuse Act, GDPR Article 32, or equivalent statutes).

1.3 Account Responsibility

You are solely responsible for:

Maintaining the confidentiality of your HOTCLUB account credentials;
All activities conducted under your account;

1.4 Modifications to Agreement

We reserve the right to modify this Agreement at any time, with or without prior notice to you. Any amended terms will be effective immediately upon posting to our official store or within the user dashboard. Your continued use of the Services after such changes constitutes acceptance of the amended terms. It is your responsibility to review this Agreement periodically for updates.

1.5 Incorporation of Policies

All policies published on our official store, including but not limited to the Privacy Policy, Acceptable Use Policy, and API Guidelines, are incorporated by reference into this Agreement. You agree to review and comply with these policies as they are updated.

2. INTELLECTUAL PROPERTY AND LICENSE

2.1 Ownership

HOTCLUB, its software, APIs, documentation, branding, and all related intellectual property are owned by or licensed to us. You receive a limited, non-exclusive, non-transferable, revocable license to use the Services strictly for authorized, compliant purposes as defined in this Agreement.

2.2 Restrictions

You shall not: reverse-engineer, decompile, disassemble, or attempt to derive source code from our software; redistribute, sublicense, or lease access to the Services; or use our tools to develop competing products or services. Violation of these restrictions voids your license and may result in license termination.

3. COMPLIANCE AND DISCLAIMERS

3.1 Lawful Use Covenant

You expressly agree that HOTCLUB is designed exclusively for:

Managing Microsoft accounts you own or are expressly authorized to administer;
Conducting lead research using publicly available, consent-compliant data sources;
Automating workflows.

Any use outside this scope voids your license, terminates your access.

3.2 No Warranty of Uninterrupted Service

Services are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. Functionality may be affected by Microsoft API changes, platform updates, third-party service interruptions, or factors beyond our reasonable control.

3.3 Limitation of Liability

To the maximum extent permitted by applicable law, HOTCLUB's total aggregate liability arising out of or related to this Agreement or the Services shall not exceed the amount you paid for the specific Service giving rise to the claim during the thirty (30) days preceding the event. In no event shall HOTCLUB be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

3.4 Indemnification

You agree to defend, indemnify, and hold harmless HOTCLUB, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your breach of this Agreement or any incorporated policy;
Your unauthorized, unlawful, or negligent use of the Services;
Your violation of any third-party rights, including intellectual property or privacy rights;
Your violation of any applicable law, regulation.

4. TERMINATION

We reserve the right to suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

Breach of this Agreement or any incorporated policy;
Reasonable suspicion of fraudulent, illegal, or unauthorized activity;
Non-payment, disputed payment, or initiation of a chargeback;
Request by law enforcement or regulatory authority.

Upon termination, all licenses granted herein cease immediately, and you must cease all use of the Services and destroy all copies of our software, documentation, and related materials in your possession or control.

5. RETURN AND REFUND POLICY

5.1 Nature of Digital Products

All HOTCLUB products are digital, non-tangible, and licensed—not sold. Due to the immediate nature of digital delivery and the potential for replication, all sales are final except as expressly provided below.

5.2 No Standard Refunds

Refunds are not provided for:

Change of mind, buyer's remorse, or failure to read product descriptions, system requirements, or compliance obligations;
Issues arising from user error, unauthorized modifications, incompatible environments, or third-party software conflicts;
Functionality changes resulting from platform updates, API deprecations, or policy revisions.

5.3 Limited Replacement Eligibility

A one-time replacement may be considered only if all of the following conditions are satisfied:

The request is submitted within twenty-four (24) hours of the original purchase timestamp;
The product demonstrably fails to perform its core functions as explicitly described on our official store page at the time of purchase;
The issue is reproducible using standard configuration without custom modifications;
The User provides detailed technical logs, environment specifications, and step-by-step replication instructions.

5.4 Replacement Exclusions

No replacement will be issued if:

The product has been modified, reverse-engineered, or used with unauthorized third-party tools or scripts;
The issue stems from API changes, platform updates, network configuration, proxy settings, or local environment factors;
The User contacted Microsoft support, public forums, or third-party channels regarding the issue before exhausting private support through our official channels;
The User initiated a chargeback, payment dispute, or public negative feedback prior to resolution of the support request.

5.5 Chargebacks and Payment Disputes

Initiating a chargeback, payment dispute, or similar reversal through your payment provider:

Constitutes an immediate and material breach of this Agreement;
Results in automatic termination of your license and permanent blacklisting from HOTCLUB services;
May result in referral to collections agencies or legal action for breach of contract and recovery of costs.

We strongly encourage contacting @SieKimberly prior to initiating any payment dispute. We resolve the vast majority of technical issues within twenty-four (24) hours of a complete support request.

5.6 Support Window and Investigation

Standard technical support is available for seven (7) days post-purchase for Silver plan users, and thirty (30) days for Gold and Gold+ plan users.
For issues reported after the applicable support window: We may, at our sole discretion, conduct a good-faith investigation if credible evidence and cooperation are provided, but no remedy, replacement, or extension is guaranteed.
All investigations require full user cooperation, including provision of logs, configuration details, and proof of authorized account usage.

6. GOVERNING LAW AND DISPUTE RESOLUTION

6.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of United States, without regard to its conflict of law principles.

6.2 Severability and Waiver

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision unless expressly acknowledged in writing.

6.3 Entire Agreement

This Agreement, together with the Privacy Policy and all policies incorporated by reference, constitutes the entire agreement between you and HOTCLUB regarding the subject matter herein and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

7. FINAL ACKNOWLEDGEMENT

By using HOTCLUB Services, you confirm that:

You have read, understood, and voluntarily agree to be bound by these Terms of Service;
You warrant that your use of HOTCLUB will be lawful, authorized, and fully compliant with Microsoft's Terms of Service, API guidelines, and all applicable data protection and computer fraud laws;
You accept full responsibility for your account, usage patterns, and any consequences arising from non-compliant activity.
